These Terms of Service (“Terms”) govern your access to and use of LeadCare AI, a service operated by Webwise Solutions LLC (“Company,” “we,” “us,” or “our”).

By accessing or using LeadCare AI, creating an account, purchasing a subscription, using our website, or authorizing us to provide services, you agree to these Terms.

If you do not agree, do not use LeadCare AI.

2. The Service

LeadCare AI provides tools for missed-call recovery, SMS lead intake, AI-assisted lead qualification, business lead dashboards, staff notifications, basic follow-up automation, review request tools, reporting, billing access, and related setup/support services.

The Service is designed to help businesses and other eligible users respond faster to missed calls, qualify incoming leads by text message, and organize lead information.

LeadCare AI may include features such as:

  • Missed-call text-back
  • AI-assisted SMS lead qualification
  • Lead inbox/dashboard
  • Staff notifications
  • Basic follow-up automation
  • Review request tools
  • Monthly lead reports
  • Billing portal access
  • Setup and onboarding support
  • Backup Mode / call-forwarding setup guidance (carrier-controlled; not automatic)
  • Partner/referral attribution where applicable

LeadCare AI is not an emergency response service, is not a substitute for 911 or other emergency dispatch, and is not a live human answering service, call center, legal advisor, medical provider, financial advisor, insurance carrier, licensed trade provider, or guarantee of sales, leads, revenue, appointments, or business results. Do not use the Service for life-or-safety-critical communications.

3. Eligibility

You must be at least 18 years old to use LeadCare AI.

You may use LeadCare AI for lawful business, organizational, professional, or service-related purposes.

You may not use LeadCare AI for illegal activity, fraud, abusive activity, harassment, spam, deceptive marketing, unlawful communications, or any activity that places Webwise Solutions LLC, LeadCare AI, our vendors, our customers, or the public at legal, regulatory, financial, reputational, or operational risk.

We may refuse, suspend, or terminate service for any account, customer, industry, use case, or activity that we determine is unlawful, unsafe, abusive, unsupported, high-risk, prohibited by our vendors, or inconsistent with these Terms.

Licensed businesses may be considered where legally permitted and where our vendors, payment processors, telecommunications providers, and policies allow support. We reserve the right to require proof of licensing, reject an account, limit service, or terminate service if we determine the account is not supportable.

4. Account registration and security

You agree to provide accurate, complete, and current account information.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You must notify us promptly if you suspect unauthorized access, account misuse, lost credentials, or a security issue.

We may suspend or restrict account access if we suspect unauthorized access, misuse, fraud, non-payment, policy violations, or security risk.

5. Customer responsibilities

You are responsible for:

  • Providing accurate business, contact, billing, and service information
  • Keeping staff notification phone numbers and email addresses current
  • Maintaining your mobile business line and enabling call forwarding where you choose to use Backup Mode
  • Configuring call forwarding or phone routing correctly — carrier compatibility is not guaranteed
  • Completing required forwarding tests before relying on the Service in production
  • Testing your missed-call recovery setup
  • Monitoring your dashboard, messages, alerts, and leads
  • Responding to your customers and prospects
  • Reviewing AI-generated summaries, recommendations, and classifications
  • Complying with laws that apply to your business and communications
  • Obtaining any required customer permissions or consents
  • Avoiding prohibited or abusive use
  • Keeping your account credentials secure
  • Disabling or changing call forwarding after cancellation, if applicable

LeadCare AI helps collect, organize, and summarize lead information, but you remain responsible for customer service, follow-up, business decisions, appointments, pricing, professional advice, emergency handling, and final communications with your customers.

6. Pricing and billing

LeadCare AI’s standard Growth Plan is:

  • Setup fee: $199 one-time
  • Monthly subscription: $147/month

Prices may vary based on promotions, plan changes, custom agreements, upgrades, discounts, or future pricing updates.

By purchasing a subscription, you authorize recurring billing until you cancel. Monthly subscriptions are billed in advance for the upcoming billing period.

You agree to keep your payment method current and authorize us and our payment processor to charge applicable fees. We may use third-party payment processors such as Stripe to process payments.

7. Setup fee

The setup fee helps cover onboarding and configuration work, which may include:

  • Account setup
  • Phone number or recovery number assignment
  • SMS/text-back configuration
  • Business name, SMS signature, and industry setup
  • Staff notification setup
  • Call-forwarding assistance
  • Dashboard configuration
  • Missed-call recovery testing
  • Setup and onboarding support

The setup fee is non-refundable once setup work has begun. Setup work may begin after purchase.

8. Refunds and cancellations

Refunds and cancellations are governed by our Refund & Cancellation Policy, which is incorporated into these Terms.

Unless otherwise stated in writing:

  • Customers may cancel anytime before the next billing date.
  • Cancellation stops future billing.
  • Monthly fees already paid are not prorated or refunded.
  • The setup fee is non-refundable once setup work begins.
  • Service may remain active until the end of the paid billing period unless suspended or terminated for non-payment, misuse, legal risk, or policy violation.

9. Failed payments and non-payment

If your payment fails, we may retry the payment, notify you, suspend service, limit features, disable automations, or cancel your account.

LeadCare AI is not responsible for missed calls, missed leads, message failures, dashboard interruptions, or other consequences caused by non-payment, suspended service, failed payment methods, cancelled subscriptions, or disabled accounts.

10. SMS, calling, and communications consent

LeadCare AI may send and receive text messages, place or receive calls, and deliver staff alerts as part of the Service. This section describes how those communications work and your responsibilities as a customer. For additional SMS program details, see our SMS Terms.

10.1 Your compliance responsibilities

You are solely responsible for your use of LeadCare AI and for compliance with laws, regulations, carrier rules, industry requirements, and vendor policies that apply to your business, your customers, and your communications. This includes, without limitation:

  • Obtaining and documenting any permissions or consents required before you message callers or prospects
  • Using accurate business identification in messages and not misleading recipients
  • Honoring opt-out requests and not messaging people who have opted out or should not be contacted
  • Following rules for your industry (for example, regulated trades, healthcare, finance, or telemarketing)
  • Reviewing message content, AI-assisted replies, and staff notifications before relying on them

LeadCare AI provides tools to help you respond to missed calls and organize leads. We do not guarantee that your use of the Service satisfies any particular legal, regulatory, or carrier requirement, and we do not provide legal compliance advice.

10.2 Missed-call text-back and lead messaging

When you enable missed-call recovery, LeadCare AI may send automated text messages to people who called your business line or a recovery number you use with the Service, such as after a missed, unanswered, busy, or after-hours call. If the caller replies, the Service may send follow-up messages to help qualify the inquiry (for example, service needed, location, or urgency) using automation and, where enabled, AI-assisted responses.

You authorize LeadCare AI to send and receive these service-related messages on your behalf in connection with calls and inquiries routed through the Service. You represent that you have a lawful basis to contact those individuals and that your messages relate to the inquiry that prompted the communication.

You agree not to use LeadCare AI to send unlawful messages, spam, deceptive content, harassment, unrelated marketing blasts, or messages to purchased lists without proper consent.

10.3 Staff notifications

You may configure staff notification destinations (such as email addresses or mobile numbers) to receive alerts about new leads, inbound replies, missed calls, or other Service events. You are responsible for:

  • Providing accurate notification contact information and keeping it current
  • Ensuring recipients are authorized to receive those alerts
  • Any message and data rates that apply to SMS alerts sent to mobile numbers you provide

Staff notifications are operational alerts for your team, not a promise that every event will generate an alert or that every alert will be delivered without delay.

10.4 Opt-out handling

Where supported by the Service and applicable carriers, recipients may opt out of further SMS from your business thread by replying with recognized opt-out keywords such as STOP, or other standard opt-out language supported by the platform or carrier.

You are responsible for honoring opt-outs promptly, not sending further promotional or non-essential messages to opted-out recipients through LeadCare AI, and maintaining your own records of opt-outs where required by law. You agree not to use the Service to circumvent opt-outs or re-contact individuals in violation of law or carrier rules.

After an opt-out, a confirming message may be sent where permitted. Recipients may reply HELP for assistance information where that feature is supported. See our SMS Terms for more detail.

10.5 Call forwarding and phone routing

You may configure your phone system or carrier to forward missed, unanswered, busy, or after-hours calls to a LeadCare AI recovery number or related routing we provide. By enabling or maintaining that routing, you represent that you are authorized to configure call forwarding for the numbers involved and that forwarding reflects your business choices.

You are responsible for configuring forwarding correctly, testing that it works as intended, and updating or disabling forwarding when you stop using the Service, cancel your account, or change phone providers. We do not provide carrier-specific forwarding instructions; consult your phone provider for how to enable or remove forwarding on your lines.

LeadCare AI is not responsible for calls or messages that are misrouted, duplicated, delayed, or lost because of your forwarding settings, carrier limitations, number changes, cancellation, or third-party telecom issues.

10.6 Third-party telecom and delivery limitations

SMS, voice, and related communications are delivered through third-party telecommunications providers, carriers, and messaging networks. Message and call delivery may be delayed, filtered, blocked, or fail for many reasons outside our control, including carrier policies, spam filters, network congestion, recipient device settings, incorrect phone numbers, and compliance reviews.

LeadCare AI does not guarantee that any SMS, call, or notification will be sent, received, read, or delivered within a particular time frame. Wireless carriers are not liable for delayed or undelivered messages. Message and data rates may apply to recipients and to notification numbers you provide.

10.7 No telemarketing guarantee

Unless we expressly agree otherwise in writing, LeadCare AI is intended for service-related follow-up to inbound calls and inquiries, not for unsolicited telemarketing campaigns. You remain responsible for telemarketing, do-not-call, and similar rules that may apply to your business and your message programs.

SMS Compliance and Business Information

LeadCare AI may use third-party telecommunications providers, including Twilio, to provide phone number, SMS, and missed-call text-back services.

Customer understands that SMS activation may require business identity verification, carrier registration, A2P 10DLC registration, campaign approval, phone number assignment, and related compliance review.

Customer agrees to provide accurate, complete, and current business information needed for compliance registration, including legal business name, DBA, business address, business contact information, website, tax identification information where applicable, authorized representative information, SMS use case, and sample message content.

Customer understands that LeadCare AI cannot guarantee approval by carriers, Twilio, The Campaign Registry, or other telecommunications providers, and that approval times may vary.

Customer agrees not to use LeadCare AI for spam, deceptive messaging, unlawful content, prohibited industries, or messaging that violates carrier, Twilio, or LeadCare AI policies.

LeadCare AI may delay activation, limit messaging, suspend service, or refuse provisioning if required information is missing, inaccurate, rejected, or if the intended use case appears to violate applicable messaging rules or provider requirements.

11. AI features and limitations

LeadCare AI may use artificial intelligence, automation, rules-based logic, and third-party AI providers to help classify, summarize, or respond to lead inquiries.

AI features are designed to assist with lead intake and qualification. They are not a substitute for human review, professional judgment, customer service, emergency response, legal advice, medical advice, financial advice, insurance advice, or licensed trade advice.

AI outputs may be inaccurate, incomplete, delayed, outdated, or inappropriate.

You are responsible for reviewing AI-generated summaries, lead classifications, urgency labels, suggested actions, text responses, and other outputs before relying on them.

LeadCare AI and its AI features must not be used to:

  • Promise pricing, availability, appointments, or emergency response
  • Provide legal, medical, financial, insurance, or professional advice
  • Make decisions requiring licensed professional judgment
  • Replace emergency services
  • Mislead customers
  • Send unlawful or prohibited communications

We may limit, modify, disable, or remove AI features at any time.

12. No guarantee of results

LeadCare AI does not guarantee that you will receive any number of leads, appointments, calls, customers, sales, revenue, profit, reviews, or business results.

LeadCare AI does not guarantee that every missed call will be recovered, every SMS will be delivered, every lead will respond, every AI classification will be correct, or every notification will be received.

Results depend on many factors outside our control, including your business operations, customer behavior, phone provider, internet service, telecom carriers, third-party vendors, payment status, message deliverability, staff response time, and market conditions.

13. Third-party services

LeadCare AI may rely on third-party providers, including payment processors, telecommunications providers, SMS providers, hosting providers, AI providers, email providers, analytics providers, and other vendors.

Third-party service interruptions, delays, limitations, rate limits, outages, pricing changes, compliance requirements, or restrictions may affect LeadCare AI.

We are not responsible for failures, delays, or limitations caused by third-party services.

Your use of LeadCare AI may also be subject to third-party terms, including payment processor, telecommunications, SMS, and AI provider terms.

14. Phone numbers, call forwarding, and routing

LeadCare AI may assign or configure phone numbers, tracking numbers, recovery numbers, or SMS-enabled numbers for use with the Service. Phone numbers may be provided through third-party telecommunications providers.

You do not own phone numbers assigned through LeadCare AI unless we expressly agree in writing.

We may release, disable, reassign, or stop supporting phone numbers after cancellation, non-payment, termination, inactivity, misuse, or vendor restriction.

If you configure call forwarding from your existing phone number to a LeadCare AI number, you are responsible for ensuring the forwarding is set correctly and for disabling or changing forwarding after cancellation.

LeadCare AI is not responsible for calls or messages routed incorrectly because of your phone provider settings, forwarding configuration, carrier limitations, user error, cancellation, or third-party service issues.

15. Acceptable use

You may not use LeadCare AI to:

  • Violate laws or regulations
  • Send spam or unlawful messages
  • Harass, threaten, deceive, or abuse others
  • Send messages to people who have opted out where messaging is prohibited
  • Impersonate another person or business
  • Misrepresent your identity, services, pricing, credentials, or availability
  • Collect sensitive information unnecessarily
  • Sell, misuse, or expose customer data
  • Interfere with the Service
  • Attempt unauthorized access
  • Reverse engineer, scrape, attack, overload, or bypass security controls
  • Use the Service for illegal goods or services
  • Use the Service in a way prohibited by our vendors or payment processors

We may suspend or terminate accounts that violate this section.

16. Prohibited and high-risk uses

We may refuse, restrict, or terminate service for illegal, unsupported, high-risk, or vendor-prohibited activity.

Examples may include, depending on law, vendor rules, and our judgment:

  • Illegal products or services
  • Fraudulent offers
  • Unlicensed regulated activity
  • Deceptive lead generation
  • Spam or abusive messaging
  • Hate, harassment, or exploitation
  • Unsafe emergency-related use cases
  • High-risk financial or legal claims
  • Unsupported regulated industries
  • Any activity that creates unacceptable risk for Webwise Solutions LLC or our vendors

We may require additional review, documentation, licensing proof, or written approval for regulated businesses.

17. Data and privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms.

You authorize us to process account data, customer lead data, message data, call data, billing data, and related information as needed to provide, maintain, secure, troubleshoot, support, improve, and enforce the Service.

You retain responsibility for the data you provide or route through LeadCare AI.

We may use aggregated or de-identified data to improve the Service, develop features, understand usage, monitor performance, and support business operations, provided that such data does not identify you or your customers.

18. Customer data

As between you and LeadCare AI, you retain ownership of your business customer and lead data, subject to the rights you grant us to operate the Service.

You grant us permission to store, process, transmit, display, summarize, analyze, and use your data as necessary to provide LeadCare AI.

After cancellation or termination, we may retain data as needed for legal, tax, audit, fraud prevention, dispute resolution, backup, security, compliance, and legitimate business purposes.

19. Partner and referral relationships

Customers may be introduced to LeadCare AI by independent sales partners, referral partners, affiliates, or ambassadors.

Sales partners are independent contractors and are not employees, agents, or legal representatives of Webwise Solutions LLC.

Partners may not modify these Terms, change pricing, promise features, guarantee results, approve refunds, bind Webwise Solutions LLC, or make representations not authorized by us.

Your agreement is with Webwise Solutions LLC, not with the referring partner.

If a partner makes a promise that conflicts with these Terms or our written materials, these Terms control unless we approve the promise in writing.

20. Service availability and support

We aim to provide reliable service, but we do not guarantee uninterrupted, error-free, delay-free, or always-available operation.

The Service may be unavailable or limited due to maintenance, outages, third-party provider issues, carrier issues, internet issues, security events, testing, updates, non-payment, or events beyond our control.

We may modify, suspend, or discontinue features at any time.

21. Account suspension and termination

We may suspend, restrict, or terminate your account or access to the Service if:

  • You fail to pay
  • A payment is disputed, reversed, charged back, or suspected fraudulent
  • You violate these Terms
  • You misuse the Service
  • You send unlawful, abusive, or prohibited communications
  • Your business or use case becomes unsupported or high-risk
  • You violate vendor, telecom, payment processor, or AI provider rules
  • You create legal, regulatory, operational, security, or reputational risk
  • You provide false information
  • You interfere with the Service
  • We are required to do so by law, vendor restriction, payment processor, carrier, court order, or government authority

Termination may result in loss of access to dashboards, automations, messages, phone numbers, reports, referral tracking, and related features.

22. Intellectual property

LeadCare AI, the website, software, dashboards, workflows, designs, templates, text, graphics, logos, names, scripts, documentation, and related materials are owned by Webwise Solutions LLC or its licensors.

You may not copy, modify, resell, sublicense, reverse engineer, scrape, frame, white-label, or create derivative works from LeadCare AI unless we give written permission.

We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service during your active subscription, subject to these Terms.

23. Feedback

If you provide feedback, suggestions, ideas, or recommendations, you grant us the right to use them without restriction or compensation.

24. Disclaimers

LeadCare AI is provided on an “as is” and “as available” basis.

We disclaim warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, accuracy, deliverability, and error-free performance.

Some jurisdictions may not allow certain disclaimers, so some disclaimers may not apply to you.

25. Liability and disputes

This section should address liability cap, excluded damages, indemnification, governing law, venue, arbitration or court process, class-action waiver if used, and dispute notice process.

26. Changes to the Service or Terms

We may update the Service or these Terms from time to time.

When we make material changes, we may provide notice by posting updated Terms, sending notice, displaying dashboard notice, or another reasonable method.

Your continued use of LeadCare AI after updated Terms become effective means you accept the updated Terms.
